Crew Shampoo User Agreement

Effective Date: September 10, 2024

This User Agreement ("Agreement") governs the use of the Crew Shampoo mobile application and related services (the "App") provided by All Pro Solutions, LLC ("Company," "we," "us," or "our"). By accessing or using the App, both technicians and clients (collectively, "Users," "you," or "your") agree to comply with and be bound by the terms and conditions of this Agreement. If you do not agree to these terms, you must not use the App.

 

1. Eligibility
You must be at least 18 years old and able to enter into legally binding agreements to use the App. By using the App, you represent and warrant that you meet these requirements.

 

2. Registration and Account Security

  • You are responsible for maintaining the confidentiality of your account information, including your password. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

  • You must provide accurate and complete information during the registration process. Any false or misleading information may result in the suspension or termination of your account.

  • Clients must provide legitimate business details for staffing requests, while technicians must provide accurate certifications, skills, and experience related to the services they offer.
     

3. Use of the App

  • Clients may use the App to request Audio Visual (AV) labor services, including searching for, hiring, and managing AV technicians.

  • Technicians may use the App to offer and accept AV labor assignments.

  • You agree not to use the App for any illegal or unauthorized purpose and to comply with all applicable local, state, and federal laws while using the App.

  • You agree not to exploit the App, its systems, or its services for commercial purposes outside the scope of this Agreement.

 

4. License
We grant you a limited, non-exclusive, non-transferable, and revocable license to use the App for your personal or internal business purposes. You may not:

  • Modify, distribute, sell, or lease any part of the App;

  • Reverse engineer or attempt to extract the source code of the App;

  • Use the App to engage in any illegal or harmful activities.

 

5. Payments and Fees
At this time, there are no payments or fees for the use of the App for clients or technicians. Should this change, we will notify users and update the terms accordingly.

 

6. Technician and Client Responsibilities

  • Clients are responsible for accurately describing the nature of the work, event details, and any required skills or certifications when requesting labor.

  • Technicians are responsible for arriving on time, completing the work as described, and meeting the professional standards set forth in the booking.

  • Both parties acknowledge that Crew Shampoo provides a platform for connection but is not responsible for the performance, quality, or outcome of any work provided by the technician or any business practices of the client.

 

7. Technician Rating Form
Clients agree to complete a Technician Rating Form after the completion of each project or event. This form is designed to provide feedback on the performance of the technician and help maintain the quality of services offered through Crew Shampoo.

 

  • The Technician Rating Form includes categories such as:

    • Punctuality: Was the technician on time for all scheduled tasks?

    • Work Quality: How well did the technician perform their assigned duties?

    • Professionalism: Was the technician courteous, cooperative, and professional throughout the event?

    • Skill Level: Did the technician demonstrate the necessary skills and knowledge for the tasks required?

    • Communication: Was the technician effective in communicating with clients and other team members?

 

  • Clients are encouraged to provide additional comments or feedback beyond the rated categories.

  • The ratings and feedback submitted by clients are only and may be used internally to improve technician services, resolve disputes, or manage technician accounts.

  • Technicians acknowledge that their overall rating may impact future job opportunities or bookings on the platform.

 

8. Privacy
Our Privacy Policy explains how we collect, use, and share your personal information when you use the App. By using the App, you agree to the collection and use of information as outlined in the Privacy Policy.

 

9. Data and Service Availability
We strive to ensure that the App operates effectively and without interruptions. However, we do not guarantee continuous, uninterrupted, or secure access to our services, as the App may occasionally be affected by technical issues.

10. Intellectual Property
All content, design, and functionality of the App are the exclusive property of the Company or its licensors. You agree not to infringe, misappropriate, or violate any intellectual property rights associated with the App.

 

11. Termination
We reserve the right to suspend or terminate your account or access to the App at any time, for any reason, without notice. You may also terminate your account by discontinuing the use of the App.

 

12. Disclaimer of Warranties
The App is provided "as is" and "as available" without any warranties of any kind, express or implied. We do not guarantee that the App will be free of errors, viruses, or other harmful components. To the extent allowed by law, we disclaim all warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

 

13. Limitation of Liability
To the maximum extent permitted by law, in no event shall the Company, its affiliates, or its licensors be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

  • Your use or inability to use the App;

  • Unauthorized access to or alteration of your data;

  • Any other matters related to the App.
     

14. Indemnification
You agree to indemnify, defend, and hold harmless the Company, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses, including reasonable attorneys' fees, arising out of or in connection with:

  • Your use of the App;

  • Your violation of this Agreement;

  • Any disputes between clients and technicians arising from work agreements or service engagements facilitated through the App.
     

15. Technician and Client Disputes
While we strive to create a reliable platform, any disputes arising between technicians and clients must be resolved between the parties involved. All Pro Solutions is not responsible for mediating or resolving any conflicts, payment disputes, or performance issues.

 

16. Changes to the Agreement
We reserve the right to modify this Agreement at any time. We will notify you of any material changes via email or within the App. Your continued use of the App after such changes are made constitutes your acceptance of the new terms.

 

17. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Washington, DC, without regard to its conflict of law principles. Any legal action or proceeding arising under this Agreement will be brought exclusively in the federal or state courts located in Washington, DC.

  • Location Data: With your consent, we may collect and process information about your actual location to improve the services we offer, such as matching technicians with local clients.

c. Third-Party Information

We may receive information about you from third-party services if you choose to link your account with other platforms, such as social media or job-related networks.

 

2. How We Use Your Information

  • Account Creation and Management: To create, maintain, and manage your account on the App.

  • Service Matching: To connect technicians with clients and vice versa based on skills, location, and availability.

  • Communication: To contact you about job offers, updates, and changes to the App, or for customer service inquiries.

  • Improve Our Services: To analyze usage trends, troubleshoot technical issues, and enhance the functionality of the App.

  • Compliance: To comply with legal obligations, protect our rights, and prevent misuse of the App.

 

3. Sharing of Information

 

We do not share your personal information with third parties except in the following circumstances:

  • With Clients and Technicians: Certain information will be shared between clients and technicians to facilitate job requests and assignments.

  • Legal Requirements: We may disclose your information when required by law, such as in response to a subpoena or other legal process.
